Cap Table Creation for Startup Funding
We are seeking an experienced financial analyst to develop a detailed and dynamic cap table for our startup, Earthship. The cap table must clearly outline the ownership structure and dilution impact through multiple funding rounds, including Seed, Series A, Series B, and Series C.
Key Responsibilities:
1. Cap Table Creation:
• Build a comprehensive and dynamic cap table that reflects the initial distribution of founder shares, seed investors, and subsequent investors through Series C.
• Clearly show how each funding round affects the ownership percentages, dilution, and share count for each stakeholder, including founders, employees, investors, and any other equity holders.
2. Model Dilution Scenarios:
• Create detailed scenarios showing the dilution impact of different amounts of investment received in each round (Seed, Series A, Series B, Series C).
• Factor in ESOP (Employee Stock Ownership Plan) allocations and any convertible notes or SAFE/J-KISS notes converting to equity.
3. Assumptions and Inputs:
• Input the amounts raised in each round, including percentage dilution expected (e.g., 15% dilution for Series A, 26.18% for Series B).
• Incorporate varying investment scenarios (low, mid, high) for each round.
4. Projections and Visualizations:
• Provide clear projections of ownership percentages and dilution over time for each stakeholder.
• Include charts/graphs that visually display the changes in equity distribution after each funding round, including founder retention.
5. Valuation Impact:
• Show how the valuation of the company at each round (post-money) affects dilution and share pricing.
• Indicate the total number of shares pre- and post-funding for each round.
6. Flexibility:
• Ensure that the cap table is dynamic, allowing for easy adjustments in inputs such as the investment amount, valuation, and allocation of shares to new investors.
• Include a summary of the cap table that can be presented to investors and stakeholders.
Requirements:
• Proven experience in building cap tables and financial models, especially for startups.
• Expertise in Excel or Google Sheets, with the ability to create dynamic and easy-to-use models.
• A solid understanding of venture capital financing, dilution, equity splits, and employee stock options.
• Ability to communicate and explain financial concepts clearly and effectively.
• Experience working with SAFE/J-KISS notes and convertible notes is a plus.

• A fully functional, dynamic cap table in Excel or Google Sheets.
• Summary sheet that outlines key equity changes through each funding round.
• Charts or graphs that clearly show dilution impacts.
